These Terms of Use (the “Terms”) govern your access to and use of the website located at https://www.charlwoodpacificgroup.com/ and any related pages, features, content, and services made available through it (collectively, the “Site”).

The Site is made available by Charlwood International Corporation and our affiliate and/or subsidiary companies (such as Charlwood Pacific Group Ltd., CENTUM Financial Group Inc., CENTUM Financial Services LP, CENTURY 21 Canada LP, CENTURY 21 Canada Inc., CENTURY 21 Real Estate Services Ltd., Uniglobe Travel International LP, and CPG Home Hub LP) (collectively, “CPG”, “we”, “our”, or “us”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.

1. Privacy Policy

Your use of the Site is also subject to our Privacy Policy (the “Privacy Policy”), which describes how we collect, use, disclose, transfer, store, and process personal information. By using the Site and/or submitting information through the Site, you acknowledge you have read and understood the Privacy Policy.

2. Eligibility and Age of Majority

The Site is not intended for individuals under the age of 18. By using the Site, you represent and warrant that you are at least 18 years of age and otherwise capable of entering into a binding agreement in your jurisdiction.

3. Changes to the Site and the Terms

We may modify, suspend, or discontinue the Site (or any part of it) at any time without notice.

We may update these Terms from time to time in our sole discretion. The “Last updated” date at the top indicates when these Terms were last revised. Your continued use of the Site after changes become effective constitutes your acceptance of the updated Terms.

You may use the Site only for lawful purposes and in accordance with these Terms.

You agree not to, and not to attempt to: use the Site in any way that violates applicable law or regulation; interfere with, disrupt, damage, or impair the Site or its operation, or attempt to gain unauthorized access to any portion of the Site, accounts, systems, or networks; introduce viruses, malware, or other harmful code; scrape, crawl, harvest, or collect information from the Site using automated means without our prior written consent; reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Site except to the extent such restriction is prohibited by applicable law; use the Site to transmit unlawful, infringing, defamatory, obscene, or otherwise harmful content.

The Site is provided for general informational purposes only. Content on the Site is not intended to constitute, and should not be relied upon as, legal, financial, tax, investment, real estate, or other professional advice. 6. Contact Forms; Accuracy; No Sensitive Information

When you submit a “Contact Us” or similar form, you agree that: the information you provide is accurate, complete, and current to the best of your knowledge; you are authorized to provide the information submitted; and you will not include sensitive personal information (such as financial account numbers, government-issued identification numbers, or passwords) in your message.

Internet communications may not be secure. While we take reasonable steps to protect personal information in our care (as described in the Privacy Policy), we cannot guarantee the security of information transmitted through the Site.

7. Brand Parties; Third-Party Services and Links

The Site may reference or link to third-party websites or services, including those operated by franchisees, brokerages, independent agents, associates, and/or affiliates (collectively, the “Brand Parties”) and other third parties.

Third-party websites and services are not controlled or maintained by us. We are not responsible for third-party content, availability, security, or privacy practices. Your dealings with any third party are between you and that third party. You should review the applicable third party’s terms and privacy policy.

For clarity, our Privacy Policy does not apply to personal information you provide directly to a Brand Party.

8. Intellectual Property; Limited License

Unless otherwise indicated, the Site and all content and materials on the Site, including text, graphics, logos, icons, images, audio clips, video, software, and the selection and arrangement thereof (collectively, “Content”) are owned by or licensed to CPG and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content for your personal, non-commercial use.

You may not copy, reproduce, modify, distribute, publish, display, perform, create derivative works from, or otherwise exploit any Content except as expressly permitted by these Terms or with our prior written consent.

9. Trademarks

CPG names, logos, and all related names, logos, product and service names, designs, and slogans are trademarks of CPG or its affiliates or licensors. You may not use such marks without our prior written permission. Other names and marks may be the trademarks of their respective owners.

10. User Content (If Submitted)

If the Site permits you to submit content (including messages, inquiries, or other materials) (“User Content”), you grant CPG a worldwide, royalty-free, non-exclusive license to use, reproduce, store, transmit, disclose, and otherwise process such User Content as necessary to operate the Site, respond to you, provide requested information or services, and for the purposes described in the Privacy Policy.

You represent and warrant that you have all rights necessary to submit the User Content and that the User Content does not violate applicable law or infringe any third-party rights.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, CPG DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, RELIABLE, OR CURRENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CPG, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR CONTENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF CPG FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100) OR, IF GREATER, THE AMOUNT (IF ANY) YOU PAID TO CPG FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of certain damages, so some of the above limitations may not apply to you.

13. Indemnity

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless CPG, its affiliates, and their respective directors, officers, employees, agents, contractors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your use of the Site; (b) your breach of these Terms; or (c) your violation of any law or the rights of a third party.

14. Electronic Communications

By using the Site and communicating with us electronically, you consent to receive communications from us electronically and agree that such communications satisfy any legal requirement that communications be in writing.

15. SMS Messaging

If you provide your mobile number and consent to receive text messages, we may send you SMS messages for informational and administrative purposes, including service updates and account-related communications.

Message Frequency: Message frequency may vary depending on your interactions with us and the nature of the communications.

Opt-Out: You may opt out of receiving SMS messages at any time by replying STOP. After you send STOP, you may receive a confirmation message, and no further messages will be sent unless you re-subscribe.

16. Governing Law; Venue

Unless otherwise required by applicable law, these Terms and any dispute arising out of or relating to the Site or these Terms will be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

You agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, for any action or proceeding arising out of or relating to these Terms or the Site, except where prohibited by applicable law.

17. Termination

We may, in our sole discretion, suspend or terminate your access to the Site at any time and for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, and Governing Law.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and CPG regarding your use of the Site and supersede any prior or contemporaneous understandings.
